Terms & Conditions

1. Agreement

By creating an account or using NexaOne CRM ("the Service"), operated by PS NEXA SOLUTIONS LIMITED (trading as PS NEXA LABS), you agree to these Terms & Conditions.

2. Account Usage

• You must provide accurate information when registering.
• You are responsible for all activity under your account and for keeping your password secure.
• One account per user; organisation owners may invite additional team members within their plan's user limits.

3. Subscriptions & Billing

Plans, pricing, and included modules are as displayed at checkout and in your account's Billing settings. Subscriptions renew automatically each billing cycle (monthly or yearly) until cancelled. Payment is processed by Stripe — we do not store your full card details.

4. Cancellation

You may cancel at any time from your account's Billing settings. Cancellation takes effect at the end of the current billing period; no partial-period refund is given unless required by the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

5. Acceptable Use

You must not use the Service to:

• Store or transmit unlawful content
• Attempt to breach the security of the Service or access another organisation's data
• Send unsolicited bulk communications in breach of the Unsolicited Electronic Messages Act 2007

6. Intellectual Property

The Service, its software, and branding are owned by PS NEXA SOLUTIONS LIMITED. Data you enter into the Service remains yours — we do not claim ownership of your client or business data.

7. Liability & Warranty

To the extent permitted by law, PS NEXA SOLUTIONS LIMITED's liability for any claim relating to the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect or consequential losses. The Service is provided "as is" — we do not warrant uninterrupted or error-free operation, but use reasonable efforts to maintain availability and fix defects.

8. Termination

We may suspend or terminate accounts that breach these Terms, with notice where practicable (immediate suspension may occur for security or legal reasons).

9. Governing Law

These Terms are governed by the laws of New Zealand and subject to the exclusive jurisdiction of the New Zealand courts. Before initiating legal proceedings, both parties agree to attempt to resolve disputes in good faith by direct negotiation.
